Amidst several
milestone transactions, Abdulai, Taiwo &
Co. was mandated by the Federal Ministry
of Finance, as Consultants for the
formulation of appropriate legislation and
regulatory guidelines for a new Capital
Market framework for Nigeria, and the report
eventually metamorphosed into the
Investments and Securities Act of 1999,
which is the current statute guiding all
securities and capital market transactions
in Nigeria. The firm also undertook the
legal mandate for registration and
incorporation of a new national Stock
Exchange, viz. Abuja Stock Exchange Plc,
as well as being the technical and editorial
consultants to the Nigerian Investment
Promotion Commission (NIPC) for the
compilation and publication of the original
edition of the handbook titled
“Investors’ Guide to Nigeria” which has
become the nation’s official marketing
document to investors.

Abdulai, Taiwo
& Co. acted as counsel in the landmark case
before the Investment & Securities
Tribunal (viz. Beta Consortium
vs Securities and Exchange
Commission) in 2004, which has now
established the legal threshold and
jurisdictional limits of SEC Pre-Merger
Notification in respect of “Core
Investor” sales under the Federal Government
Privatisation law.

Abdulai,
Taiwo & Co. was
the first Nigerian law firm to be registered
as Consultants to the African Development
Bank (“ADB”), and has also acted
for and/or in transactions involving other
regional and multinational Development
Financial Institutions, such as Shelter
Afrique, World Bank (IBRD Line of
Credit Facilities), DEG of Germany;
SBI of Belgium, etc. The firm has on
past occasions, acted extensively for
COFACE (Companie Francaise d’Assurance
pour le Commerce Exteriur) and BFCE (Banque
Francaise pour Commerce Exteriur), which are
both national export credit agencies (ECA)
of France.

* Abdulai, Taiwo & Co.
has a strong and
reliable reputation for advising on Nigerian
business regulatory issues. At the
invitation of the IFC-World Bank Private
Sector Development Vice Presidency, one
of the firm’s name partners, Ladi
Taiwo, was contributing author of the
NIGERIA country report on Real Property
Interests of the World Bank Report entitled
“Doing Business in 2006”. He was also
one of the invited delegates to the UNCITRAL
Working Group VI (Security Interests) which
undertook review of the UNCITRAL draft guide
on secured transactions. Ladi Taiwo
is Council Member of the Section on
Business Law, Nigerian Bar Association;
member of the Body of the Congress of
Fellows, Centre for International Legal
Studies, Austria; and is author and
contributing author of several books and
published works on commercial law practice
in Nigeria. Another partner, Akin
Osinbajo, is currently the Honourable
Attorney-General and Commissioner for
Justice, Ogun State, Nigeria; and Registrar
of the Anglican Communion, Remo Diocese of
Nigeria. Bode Obat-Olowu, joined the
firm, as partner, with his wealth of
experience as Senior Counsel at J.B.
Majiyagbe & Co. in Kano – the leading law
firm in the Northern States of Nigeria.
Another partner, Alayo Ogunbiyi, has
accumulated considerable experience within
her 15 year sojourn with Abdulai, Taiwo &
Co. and is contributing author to IFC/World
Bank Report entitled” “Doing Business in
2007”. Before his death in 2004, former
partner, Dr. Ahmed Abdulai, had
served as Member, “Presidential Panel on
the Review of the Capital Market Framework
in Nigeria”, Member, “Technical Study
Group on Review of Tax System in Nigeria for
